euroB2B — App Terms of Service

These Terms of Service ("Terms") govern the use of the euroB2B Shopify application (the "App") provided by CodeThat M.Siekmann & D.Siekmann GbR, Rathenaustraße 39, 44869 Bochum, Germany ("CodeThat", "we", "us"). By installing or using the App you ("Merchant", "you") agree to these Terms.

1. Business Customers Only

The App is offered exclusively to businesses (Unternehmer within the meaning of § 14 BGB) operating a Shopify store. It is not offered to consumers. By installing the App you confirm that you are acting in the course of your trade or profession.

2. The Service

The App adds a B2B (wholesale) ordering area to your Shopify store, including a business registration form with optional approval workflow, VAT-ID validation, company and price-list management, a quick-order matrix, EU VAT / reverse-charge handling, and draft-order and order processing. The exact feature set depends on the plan you select and may evolve over time. The App runs on top of Shopify and requires an active Shopify store; Shopify's own terms apply to your use of Shopify.

3. Account, Installation and Access Scopes

Installing the App grants us access to your store through the Shopify access scopes you approve. We use this access only to provide and support the App as described in our App Privacy Policy. You are responsible for the actions of all staff members who use the App on your store and for keeping your Shopify credentials secure.

4. Fees and Billing

Fees for the App are shown in the App and in the Shopify App Store and are charged through Shopify Billing to your Shopify account, according to the plan you select. Unless stated otherwise, fees are recurring, billed in advance per billing cycle, and exclusive of VAT. We may change fees with at least 30 days' notice; the new fees apply from your next billing cycle. If a required subscription is not active, the App may restrict functionality until a plan is selected.

5. Your Obligations

You agree to (a) use the App only in compliance with applicable law, Shopify's terms, and these Terms; (b) provide accurate configuration data, in particular tax and pricing settings; (c) obtain all consents and provide all privacy notices required for the processing of your customers' data through the App; and (d) not attempt to reverse-engineer, copy, resell, or interfere with the App or use it to send unsolicited communications.

6. Tax and Pricing Configuration — No Tax Advice

The App applies VAT, reverse-charge and pricing rules based on the settings you configure and on data returned by third-party services (e.g. the EU VIES system). These features are tools to support your own tax compliance and do not constitute tax or legal advice. You remain solely responsible for the correctness of the tax treatment, invoicing and pricing of your orders, and for verifying the results where required.

7. Data Protection

We process personal data in connection with the App as described in our App Privacy Policy. To the extent we process your customers' personal data on your behalf, we act as your processor; a Data Processing Agreement pursuant to Art. 28 GDPR is available on request and forms part of these Terms once concluded.

8. Availability and Support

We aim to keep the App available at all times but do not guarantee uninterrupted availability. Maintenance, updates, or circumstances outside our control (including Shopify platform outages) may cause temporary interruptions. Support is provided by email at hi@code-that.com and through the in-app chat during normal business hours (CET).

9. Intellectual Property

The App, including its software, design and documentation, is and remains our property or that of our licensors. You receive a non-exclusive, non-transferable right to use the App for your store for the duration of your subscription. Your store data remains yours.

10. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. In cases of slight negligence we are liable only for the breach of essential contractual obligations (obligations whose fulfilment is essential to the proper performance of the contract and on whose fulfilment you may regularly rely), and in that case limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. Liability for data loss is limited to the effort of restoration that would have been required had you performed regular, proper backups.

11. Term and Termination

These Terms apply for as long as the App is installed on your store. You may terminate at any time by uninstalling the App from your Shopify admin; fees already charged for the current billing cycle are not refunded unless required by law. We may terminate or suspend access with reasonable notice, or immediately in case of a material breach of these Terms or of Shopify's requirements. After uninstallation your App data is deleted in accordance with the App Privacy Policy (30 days after uninstallation).

12. Changes to the App and these Terms

We may modify the App and these Terms. Material changes to these Terms will be communicated at least 30 days in advance through the App or by email. If you do not agree, you may terminate by uninstalling the App before the changes take effect; continued use after that date constitutes acceptance.

13. Relationship to Shopify

euroB2B is an independent app developed by CodeThat and is not endorsed by or affiliated with Shopify Inc. "Shopify" is a trademark of Shopify Inc.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Bochum, Germany.

15. Final Provisions

Should any provision of these Terms be or become invalid, the validity of the remaining provisions is not affected. The English version of these Terms is authoritative.
